Data Center Liquid Cooling Buyers Now Pay for Coolant Service, Led by Vertiv

Vertiv paid about $1.0 billion for PurgeRite and has accrued $239.6 million of a possible $250 million earnout. Eaton paid $9.55 billion for Boyd Thermal and Ecolab $4.63 billion for CoolIT, both net of cash.

Key TakeawayMost recent liquid cooling deals bought equipment makers, but Vertiv's PurgeRite and King Environmental purchases bought flushing, filtration and commissioning work outright. Vertiv's filings show the PurgeRite earnout nearly fully accrued, and Ecolab is pairing CoolIT hardware with its own fluids and monitoring.

Vertiv closed its purchase of King Environmental Services on Oct. 26, less than 11 months after buying PurgeRite, and neither company's main business is building cooling equipment. Both flush, filter and commission the fluid loops behind liquid-cooled data centers.

HVAC makers, a power company and a water-treatment company have also paid to get into liquid cooling since August 2025. Most bought hardware. Documents from Vertiv and Ecolab go further, describing the fluid itself as something to be managed and sold for the life of a system.

What Vertiv Paid for Flushing and Purging

Vertiv's Nov. 3, 2025, announcement priced Houston-based PurgeRite at about $1.0 billion in cash, plus up to $250 million tied to 2026 performance. The release said the deal should add to the margin of a services business that "operates above corporate average margins," and that PurgeRite planned to expand its service center network across North America.

Vertiv's latest 10-Q dates the close to Dec. 4, 2025. It also shows the earnout close to fully reserved, with $239.6 million accrued at Sept. 30 and $95.5 million of expense this year "due to the increased probability of achieving the post-closing performance metrics."

Companywide services and spares sales reached $719.0 million in the third quarter, up from $508.2 million a year earlier. The Americas portion rose 62 percent to $463.0 million. That line covers far more than fluid work.

The Work, as the Seller Describes It

King Environmental, founded in 2002 and based near Dublin, with hubs in North Dublin and Frankfurt, handles flushing, filtration, water treatment, commissioning and thermal load testing. Terms are undisclosed and not expected to be material to Vertiv's results.

Vertiv sells this service, and its Sept. 24 release argues the case. "Contamination, trapped air, corrosion, improper chemistry and flow imbalances can reduce heat-transfer efficiency, contribute to equipment degradation and create commissioning and operational risks," it said, adding that customers need "lifecycle fluid management services" beyond initial commissioning.

"As computing density increases, the performance of cooling infrastructure depends not only on engineering and system design but on execution in the field," CEO Giordano Albertazzi said at the close.

None of these documents puts a number on technicians, crews or contractor demand.

Ecolab Bought Hardware to Sell With Its Chemistry

Ecolab's March 20 release described the CoolIT Systems deal as "an end-to-end fluid management and cooling platform for AI data centers" and said it would bolster a "Cooling-as-a-Service offering." CoolIT was expected to bring about $550 million in sales over the next 12 months. Ecolab plans to show a platform combining CoolIT equipment with its 3D TRASAR monitoring and cooling fluids at the Supercomputing show this month.

A far smaller deal points toward automating part of that work. Omen AI, a startup whose sensors test fluid as equipment runs, said Nov. 2 it bought Aquatic Labs for $16 million in cash and stock. "To automate treatment, you first need enough information to understand what is happening in the fluid," CEO Zach Laberge said, describing a goal of "cooling systems that can maintain their own fluid condition."

Deals and Documented Values
  • Eaton, Boyd Thermal: $9.55 billion net of cash, closed March 12, 2026
  • Ecolab, CoolIT Systems: $4.627 billion net of cash, closed July 2, 2026
  • Vertiv, PurgeRite: about $1.0 billion plus earnout, closed Dec. 4, 2025
  • Omen AI, Aquatic Labs: $16 million, announced Nov. 2, 2026
  • Vertiv, King Environmental: undisclosed, closed Oct. 26, 2026
  • Trane Technologies, LiquidStack: undisclosed, completion announced March 3, 2026
  • Daikin Applied, Chilldyne: undisclosed, announced Nov. 4, 2025
  • Carrier Ventures, ZutaCore: undisclosed follow-on, April 29, 2026

Equipment Makers Took Different Routes

Trane turned a 2023 minority stake in Carrollton, Texas-based LiquidStack into full ownership and placed it in the Commercial HVAC business of its Americas segment. "Customers need integrated cooling solutions that scale from the central plant to the chip and can adapt as performance demands continue to evolve," Commercial HVAC Americas President Holly Paeper said in February.

Daikin Applied Americas made two purchases in three months, adding high-density cabinet maker DDC Solutions in August 2025 and Chilldyne, which makes negative-pressure CDUs, that November.

Eaton's purchase was the largest. Boyd Thermal forecast 2026 sales of $1.7 billion, with $1.5 billion from liquid cooling when the deal was announced.

Carrier chose to build. Its venture arm added to a 2025 investment in waterless cooling firm ZutaCore in April, and CEO David Gitlin told analysts on the third-quarter earnings call that Carrier designs its own CDUs. "We looked at some acquisitions in the space and we said, you know, effectively a CDU is a mini chiller," he said, according to a published transcript.

Why This Matters to Contractors

PurgeRite's price worked out to about 10 times expected 2026 EBITDA including cost synergies, against 22.5 times estimated 2026 adjusted EBITDA for Boyd Thermal and 29 times next-12-month adjusted EBITDA for CoolIT. The bases differ, yet the spread suggests buyers have so far paid more for cooling hardware than for the field service that readies it. The test period for PurgeRite's earnout ends Dec. 31, so Vertiv's next annual filing should show whether the business reached the top of its range.
